How we work together on websites, apps, marketing and video projects.

Effective 3 November 2026

01About Us

SangVinX is a startup brand based in Mumbai, India, run by Prof. Sangeeta Wankhade. It is not yet registered as a company. In these terms, "we", "our" and "us" mean SangVinX, and "client" means the person or organisation engaging our services.

02Scope of Services

SangVinX provides software development and digital services, including:

  • Website design and development, including WordPress, Shopify and WooCommerce.
  • Android and iOS mobile application development.
  • Web applications and admin dashboards.
  • Backend development and database integration.
  • UI/UX design and prototyping.
  • API and third-party service integration.
  • Payment gateway integration.
  • Social media marketing and video editing.
  • Testing, deployment and technical support.
  • Other services specifically agreed in writing.

The exact scope of each project will be documented in a proposal, quotation, Statement of Work (SOW) or Memorandum of Understanding (MOU).

03Project Requirements and Feature Confirmation

Before development begins, the client must provide and approve the complete list of required features, functionality, design requirements and technical specifications. The approved requirements become the project's scope of work.

Any feature, functionality, integration or service not mentioned in the signed MOU or approved scope will be treated as additional work. We are not obligated to provide unlisted items without a separate written agreement.

04MOU and Project Agreement

A project officially begins only after:

  1. The project requirements have been discussed and finalised.
  2. The quotation and project cost have been approved.
  3. The MOU or project agreement has been reviewed and signed by both parties.
  4. The initial 50% advance payment has been received.

The signed MOU is the primary reference for the project's scope, features, responsibilities, cost, milestones and delivery timeline. Verbal discussions or informal understandings do not override it unless both parties confirm them in writing.

05Payment Terms

Initial advance: 50%

The client pays 50% of the total agreed project cost in advance, before development begins.

Remaining payment: 50%

The remaining 50% is payable according to the milestones in the signed MOU. Unless otherwise agreed, it must be cleared before final production handover, deployment or transfer of ownership.

Payment conditions

  • Payments must be made through the payment methods we officially communicate.
  • Payments will be supported by appropriate invoices or receipts.
  • Work may be paused if payments are delayed beyond the agreed date.
  • Any resulting delay may affect the original delivery timeline.
  • Advance payments are adjusted against the total project cost.
  • Refunds, if applicable, are governed by the cancellation and termination provisions of the signed MOU.

06Feature Changes and Additional Development

Once the MOU has been signed and development has started, any request to add, remove, modify or replace an agreed feature must be made in writing.

Changes before final delivery

Changes requested after scope approval may need extra development time and charges. We will assess the change and share the cost and revised timeline before starting it.

Changes after delivery

Once a project has been delivered and accepted, any new feature or change is treated as a separate enhancement. You are charged only for that specific change, not for the entire project again, based on a separate quotation.

Bug fixes versus feature enhancements

  • A bug caused by our failure to correctly implement an agreed and documented feature is addressed under the applicable warranty or support terms at no additional development charge.
  • A new feature, additional functionality, design change, integration or change to approved requirements is chargeable.
  • Issues caused by third-party services, hosting providers, client-side changes or unauthorised code changes are evaluated separately.

No additional feature work begins until the client approves its quotation and any required advance payment.

07Project Timeline and Delivery

The delivery timeline is specified in the signed MOU. It generally starts once the MOU is signed, the 50% advance is received, and we have the required project details, documents, content, images, credentials and other client materials.

We will make reasonable efforts to finish within the agreed timeline. These may result in a revised schedule, which we will communicate to the client:

  • Delayed client feedback or approvals.
  • Incomplete or delayed content and documentation.
  • Additional feature requests.
  • Changes to approved requirements.
  • Third-party API, hosting or payment gateway issues.
  • Circumstances beyond our reasonable control.

08Client Responsibilities

The client agrees to:

  1. Provide accurate project requirements.
  2. Supply all necessary content, images, logos and documents.
  3. Provide required access to hosting, domains, APIs and third-party platforms.
  4. Review designs, demonstrations and updates within the agreed review period.
  5. Provide timely feedback and approvals.
  6. Make payments according to the agreed schedule.
  7. Ensure that supplied content and materials do not infringe third-party rights.

We are not responsible for delays caused by a client's failure to meet these responsibilities.

09Testing, Review and Project Acceptance

We may provide development previews, testing versions or demonstrations during the project. The client must review delivered work and report any differences from the approved specifications within the review period set out in the MOU.

Acceptance should be documented in writing, and we may ask for written confirmation of final approval before completing the handover.

10Ownership and Intellectual Property

Subject to the signed MOU and applicable third-party licences:

  • Ownership of custom-developed project deliverables transfers to the client after full payment of all agreed amounts.
  • Until full payment is received, we retain our contractual rights over the unpaid deliverables.
  • Our pre-existing tools, reusable components, libraries, frameworks and methods remain our property.
  • Open-source software, stock assets, fonts, APIs and third-party tools remain subject to their own licences and terms.
  • The client must ensure that all materials provided for development are legally authorised for use.

11Third-Party Services and Expenses

Domain registration, hosting, cloud infrastructure, SMS services, WhatsApp APIs, payment gateways, maps, subscriptions, external APIs, app store fees and other third-party services are excluded from the development cost unless explicitly included in the quotation. These expenses are generally payable by the client.

We are not responsible for service interruptions, pricing changes, policy changes or discontinued services caused by external providers.

12Maintenance and Technical Support

Maintenance, upgrades, server management, content updates and ongoing technical support are provided only where included in the project agreement or a separate maintenance contract. Post-delivery maintenance is not automatically included in the development cost.

Any support or maintenance arrangement is governed by its agreed scope, duration and charges.

13Confidentiality

Both parties agree to keep confidential any non-public business information, technical information, credentials, project documents and other confidential materials received during the engagement. These must not be disclosed to unauthorised third parties except where required by law or authorised by the relevant party.

14Cancellation and Termination

Either party may request termination of a project by giving written notice in line with the signed MOU. In case of cancellation:

  • Work completed up to the termination date will be evaluated.
  • Payments for completed milestones and approved work will be accounted for.
  • Any eligible refund or outstanding payment will be determined under the signed MOU.
  • Unpaid deliverables will not be handed over until the applicable payments are cleared.
  • Both parties must return or appropriately delete confidential information, subject to legal retention requirements.

15Limitation of Liability

We will exercise reasonable professional care while providing our services. To the extent permitted by law, we are not responsible for indirect or consequential losses, loss of business opportunities, loss of profits or interruptions arising from circumstances outside our reasonable control.

Nothing in these terms excludes liability that cannot legally be excluded under applicable law.

16Governing Law and Dispute Resolution

These terms are governed by the laws of India. Any dispute will first be addressed through good-faith discussions. If it cannot be resolved amicably, it will be handled by the competent courts having jurisdiction at Mumbai, Maharashtra, subject to applicable law.

17Acceptance of Terms

By signing the project MOU or service agreement, the client confirms that they have reviewed and accepted these terms.
